Geminos Connect

Terms & Conditions

Geminos - Kaijo Amelie & Leena Kaijo GbR, Eichendorffstrasse 5, 48291 Telgte, (hereinafter "Geminos") to companies and private individuals.

1. Scope of Application

(1) These Terms and Conditions apply to the use of the Geminos Connect platform by

  • Creators as well as
  • Companies.

(2) The platform is operated by Geminos – Amelie & Leena Kaijo GbR (hereinafter "Geminos").

(3) Conflicting terms and conditions of users do not apply, even if Geminos does not expressly object to them.

2. Role of Geminos

(1) Geminos operates the "Geminos Connect" platform, on which creators generate referral links to products and services of companies and are compensated per valid click.

(2) Geminos is a contractual partner of both creators and companies. Creators receive their compensation exclusively from Geminos, companies owe the click compensation directly to Geminos.

(3) Creators are not in a contractual relationship with companies. Direct contact is not intended. Direct messaging between creators and companies is not permitted.

3. Registration & Accounts

(1) Registration takes place exclusively online via the platform using email address and password. Double opt-in is mandatory.

(2) Each natural person may only maintain one creator account. Companies may create multiple users.

(3) Accounts can be terminated by the user at any time.

(4) Geminos is entitled to block or delete user accounts in case of violations of these Terms and Conditions.

4. Services of Geminos

(1) Provision of the platform for creating affiliate links, campaign management, and analytics.

(2) Tracking of clicks using UTM parameters, cookies, IP hashing, and fingerprinting.

(3) Calculation and payment of compensation to creators via Stripe or other payment service providers.

(4) Support via AI chatbot as well as an escalation ticket system.

(5) Geminos does not guarantee minimum reach, click count, leads, or business success.

5. Services & Obligations of Creators

(1) Creators can generate referral links via the portal and publish them in their own LinkedIn posts.

(2) Creators are solely responsible for

  • the content of their posts,
  • compliance with legal requirements (e.g., advertising labeling),
  • the accuracy of their information and tax data.

(3) Prohibited content for creators:

  1. Sexual content
  2. Racist, discriminatory, or inflammatory content
  3. Misleading or false statements about products
  4. Advertising for weapons or content glorifying violence
  5. Alcohol/gambling advertising only restricted and in accordance with local laws

(4) Political content is generally permitted, provided it does not violate legal regulations or is discriminatory.

(5) Creators may only share referral links personally and may not pass them on to click farms, bots, or automated systems.

6. Services & Obligations of Companies

(1) Companies can create campaigns and freely choose the click price within the platform.

(2) Companies undertake to

  • provide all information truthfully,
  • only advertise legally permissible products/services,
  • comply with trademark and copyright rights.

(3) Companies may not contact creators directly.

7. Compensation & Payment Processing

7.1 Compensation for Creators

(1) Creators receive compensation for each validated click on one of their referral links. The amount of compensation is visible in the creator portal. Geminos retains a platform commission, which is also visible in the creator portal.

(2) Payouts are made from a minimum amount set in the creator portal.

(3) Creators are responsible for their own tax classification (small business, VAT-liable, private).

7.2 Payments by Companies

(1) Companies pay the click compensation monthly to Geminos. Billing is based on validated click numbers.

(2) Companies can define budget limits. When the budget limit is reached, the campaign is automatically paused.

(3) Geminos is entitled to process the collection of receivables via Stripe or other payment service providers.

8. Tracking & Validation

(1) For fraud detection, Geminos uses, among other things:

  • Cookies
  • IP hashing
  • Device fingerprints
  • Time and behavioral patterns

(2) Geminos decides at its own discretion whether a click is "valid".

(3) Manipulation attempts lead to immediate account suspension.

9. Limitation of Liability

(1) Geminos is only liable for intent and gross negligence. For simple negligence, only for damages resulting from

  • injury to life, body, health or
  • breach of essential contractual obligations.

(2) Geminos assumes no liability for:

  • missing clicks
  • missing sales/leads
  • blocking of posts by LinkedIn
  • technical disruptions by third parties (LinkedIn, Stripe, hosting providers, etc.)
  • content of creators' posts.

10. Usage Rights

(1) Creators may use company materials within the scope of the campaign, provided they are made available in the portal.

11. Term & Termination

(1) Usage agreements run for an indefinite period.

(2) Users can delete their accounts at any time.

(3) Geminos may terminate accounts without notice in case of violations.

12. Support

(1) Support is provided primarily via the integrated AI chat.

(2) If the request cannot be resolved automatically, a ticket is forwarded to human support.

13. Data Protection

Data protection is regulated in a separate privacy policy and is not part of these Terms and Conditions.

14. Final Provisions

(1) Changes to the Terms and Conditions are made digitally and displayed to users in their account.

(2) The law of the Federal Republic of Germany applies.

(3) The place of jurisdiction is the seat of Geminos.

(4) Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
